  2.          THIS IS THE LAST WILL AND TESTAMENT of me,

  5.          1.     I HEREBY REVOKE all wills and testamentary 
  6.          dispositions of every nature and kind whatsoever by me 
  7.          heretobefore made.
  8.  
  9.          2.     I NOMINATE, CONSTITUTE, AND APPOINT, my husband, 
  10. BLANK    ___________________________ ,
  11.          to be the sole Executor and Trustee of this my Will. 
  12.          If he is unable or unwilling to act, I THEN NOMINATE, 
  13.          CONSTITUTE AND APPOINT

  17.          3.     I GIVE, DEVISE, AND BEQUEST all my property of 
  18.          every nature and kind and wheresoever situate, including 
  19.          any property over which I may have a general power of 
  20.          appointment to my said Trustee upon the following 
  21.          trusts, namely:
  22.                 a)      To use his or her discretion in the 
  23.          realization of my estate, with power to my Trustee to 
  24.          sell, call in and convert into money any part of my 
  25.          estate not consisting of money at such time or times in 
  26.          such manner and upon such terms, and either for cash or 
  27.          credit or for part cash and part credit as my said 
  28.          Trustee in his or her absolute discretion may decide 
  29.          upon, or to postpone such conversion of my estate or any 
  30.          part or parts thereof for such length of time as he or 
  31.          she may think best, and I hereby declare that my trustee 
  32.          shall have a separate and substantive power to retain 
  33.          any of my investments or assets in the form existing at 
  34.          the date of my death at his or her absolute discretion 
  35.          without responsibility for loss to the intent that 
  36.          investments or assets so retained shall be deemed to be 
  37.          authorized investments for all purposes of this my Will.
  38.                 b)      To use his or her discretion in making 
  39.          elections with power to make all such elections as he or 
  40.          she shall deem in his or her absolute discretion to be 
  41.          in the best interests of my estate as a whole, and 
  42.          specifically, and elections as may be necessary under 
  43.          The Income Tax Act and the provisions thereof from time 
  44.          to time in force.
  45.                 c)      To make any division of my estate or set 
  46.          aside or pay any share or interest therein, either 
  47.          wholly or in part, in the assets forming my estate at 
  48.          the time of my death or at the time of such division, 
  49.          setting aside or payment, and I declare that my trustees 
  50.          shall, in their absolute discretion, fix the value of my 
  51.          estate or any part thereof for the purpose of making any 
  52.          such division. setting aside or payment, and their 
  53.          decision shall be final and binding upon all persons 
  54.          concerned. In fixing the value of the assets of my 
  55.          estate, I direct my Trustee to keep an even hand and I 
  56.          direct them to take into account not only fair market 
  57.          value of capital property but also its adjusted cost 
  58.          base.
  59.                 d)      To make a distribution of assets 
  60.          according to the items of this my Will if, in their 
  61.          opinion, there is no further liability for any taxes 
  62.          even though they have not obtained a clearance. My 
  63.          Trustees may, if they consider it advisable, make any 
  64.          such distribution, and as a condition for so doing shall 
  65.          have the right to ask for and receive signed 
  66.          indemnification from the beneficiaries to whom any such 
  67.          distributions are made.
  68.                 e)      To pay my just debts, funeral, and 
  69.          testamentary expenses, and all estate, legacy, 
  70.          succession and inheritance taxes and duties (if any), 
  71.          whether imposed by or pursuant to the law of any 
  72.          domestic or foreign jurisdiction whatsoever, that may be 
  73.          payable in connection with the property passing (or 
  74.          deemed to pass by any governing law) on my death or in 
  75.          connection with any insurance on my life or in 
  76.          connection with any gift or benefit given or provided by 
  77.          me either in my lifetime or by the survivorship or by 
  78.          this my Will or any Codicil thereto, and whether such 
  79.          taxes and duties payable in respect of estates or 
  80.          interests which fall into possession at my death or any 
  81.          subsequent time; and I hereby authorize my Trustees to 
  82.          commute or repay any such taxes or duties.
  83.                 f)      To pay or transfer the residue of my 
  84.          estate to my beloved husband, for his own use 
  85.          absolutely.
  86.                 g)      provided that if my husband should die 
  87.          before myself, to give my husband's share, in equal 
  88.          portions, to my children, alive at the time of my 
  89.          death, for their own use absolutely.
  90.                 h)      provided that if my husband and all my 
  91.          children should die before myself, to give that share in 
  92.          equal portions to the children of my children, for 
  93.          their own use absolutely.
  94.                 i)      provided that if my husband and all my 
  95.          children and all my children's children should die 
  96.          before myself, to give that share in equal portions to 
  97.          my sisters and brothers alive at the time of my death, 
  98.          for their own use absolutely.

  100.          4.     I DECLARE that in this my will the term 'trustee' 
  101.          or 'trustees' and all references thereto shall (where 
  102.          the context so permits) mean and include the Executor, 
  103.          the Executrix, the Executors, the Trustee, the Trustees 
  104.          for the time being hereof, whether original, additional, 
  105.          or substitutional, and shall be construed accordingly.

  107.          5.     If any of my children should become entitled to 
  108.          any share in this my Estate before attaining the age of 
  109.          18 years, the share of such person shall be held and 
  110.          kept invested by my Trustee and the income and capital 
  111.          or so much thereof as my trustee in his or her absolute 
  112.          (but reasonable) discretion shall deem advisable, shall 
  113.          be used for the benefit and education of such children 
  114.          until he or she reaches the age of majority, when the 
  115.          remaining balance of his or her portion remaining shall 
  116.          be paid to that person for his or her own use absolutely.

  118.          6.     If any person, other than my own children, shall
  119.          become entitled to any share in this my Estate before 
  120.          attaining the age of majority, the share of such person 
  121.          shall be paid to the parents, or parents, or trustee, or 
  122.          guardian (as the case may be) of that person, in trust 
  123.          for that minor; and the receipt signed by that parent, 
  124.          or parent(s), or trustee, or guardian (as the case may 
  125.          be) shall be sufficient to discharge my trustee of his 
  126.          or her obligations under this my will.

  128.          7.     It is my wish and instructions that my husband be 
  129.          the guardian of my children; however, if my husband 
  130.          should die before me, I hereby nominate, constitute, and 
  131.          appoint as the guardian of my children,
